Summary

Sydney Clutterbuck defrauded Company of tonnage by wrong account of delivery at Bonds Mills. Mitigated fine of 10s.
Boat ‘Mary’, G Hazle owner, C Cox captain, navigated through canal at Whitminster, leaving two towing path gates propped open. Penalty 2s 6d.
Resignation of Mr Warman, the solicitor, accepted. Resolution of 25 October in no way reflected censure on him. In future Solicitor to be paid salary of £15 per annum. Mr W W Kearsey appointed Solicitor.

At an Adjourned General Half Yearly Meeting of the Company of Proprietors of the Stroudwater Navigation held at the Committee Room at Wallbridge on Monday 5^th of Nov^r 1866
M^r C Hooper in the Chair.
Proposed by M^r Beard that Captain Fisher be reelected on the Committee.
Seconded by M^r T M Croome & carried unanimously.
It having been proved that Sydney Clutterbuck has defrauded the Company of Tonnage by giving a wrong account of Coal delivered at Bonds Mills,
Resolved that a mitigated fine of 10^s/ be levied upon him.
M^r Peyton reported that the Boat Mary G Hazle Owner & C Cox Capt^n navigated through the Canal at Whitminster leaving two Towing path Gates propped open.
Resolved that C Cox do pay the mitigated Penalty of 2^s/6^d & if the same be not forthwith paid that the full penalty be enforced by Law.
M^r Warman's letter of reply to the resolution of the Meeting of the 25^th October last was read and it was resolved that his resignation contained in it be accepted and recorded on the minutes of this Meeting and in their accepting such resignation this Meeting desired to express its value of the services of M^r Warman as a Member of the Committee and as the Solicitor of this Company and to explain that the resolution of the last Meeting was not passed from any feeling that M^r Warman had in any manner neglected his duties or been inattentive to the interests of the Company but solely in consequence of his ceasing to reside in the neighbourhood & this Meeting trusts M^r Warman will not consider that the resolution in any way reflected censure on him.
Resolved that in future the Solicitor of this Company be paid by a Salary of £15..-..- per annum such Salary to include all ordinary professional attendances on, and advise to the Committee, or the Company's Officers and all ordinary correspondence on behalf of the Company, but not to include expenses out of Pocket, actual costs of actions brought, preparations & executions of documents, or Parliamentary business.
Resolved that notwithstanding his resignation M^r Warman be requested to complete the matter of the Exchange at Stonehouse Wharf with the Stonehouse & Nailsworth Railway C^o & to attend with the Exchange Deed at the next Committee Meeting.
Proposed by M^r Thornton & seconded by M^r Beard that M^r W W Kearsey be appointed Solicitor to this Company which was carried unanimously.
