Articles of a Subscription for raising a further Sum of Money not Exceeding the Sum of Ten Thousand pounds for making Navigable the River Stroudwater in the County of Gloucester from the River Severn near Framiload to Walbridge near the Town of Stroud in the same County.
Whereas in and by an Act of Parliament made in the Sixteenth Year of the Reign of his present Majesty King George the third Intitled an Act to amend an Act passed in the third Year of his late Majestys Reign Intitled “An Act for making Navigable the River Stroudwater in the County of Gloucester from the River Severn at or near Framiload to Walbridge near the Town of Stroud in the same County and for giving other powers for the purpose of making a Navigation from Framiload to Walbridge aforesaid are recited amongst other Clauses Certain Articles bearing date the Eighth day of December for this Year of our Lord One Thousand Seven Hundred and Seventy four whereby Several persons therein Named entered into an Article of Subscription for raising the Sum of Twenty Thousand pounds for making the said Navigation to be divided and distinguished into Two Hundred Equal parts or Shares at the Rate of one Hundred pounds per Share and agreed to advance and pay such Sum or Sums of Money as should Respectively belong to the Share or Shares Subscribed for according to the Tonor of the said Article. And whereas theses undertakers appointed by the said Act together with the other Subscribers to the said Article who are Incorporated by the said Act by the Name of the Company of Proprietors of the Stroudwater Navigation have proceeded in making the said River Navigable and have already made calls upon the Several Subscribers to the said Two hundred Shares for the Sum of Ninety pounds on each Share amounting in the whole to the Sum of Eighteen Thousand Pounds a Considerable part thereof has been Expended towards making the same Navigation and in the purchase of Lands and in necessary Works Relating thereunto. And whereas it is by the said Act further Enacted that in Case of said Sum of Twenty Thousand pounds Subscribed for in the said Article and thereinbefore Authorised to be raised shall be found Insufficient for Making Compleating and Maintaining the said Navigation and other Works thereby Authorised to be made and Necessary Charges and Expences relating thereunto, Then and in such Case it shall be Lawfull for the said Company of proprietors their Executors Administrators and Assigns to raise and Contribute amongst themselves (in Manner and form as in the said is proscribed) and in such Shares and proportions as to them shall seem meet or by Admission of new Subscribers any further or other Sum of Money for Compleating and perfecting the said Navigation not Exceeding the Sum of Ten Thousand pounds and every Subscriber towards raising such further or other Sum shall have the like vote by himself for his proxy in Respect of every such Share in the said Additional Sum to be raised and shall also be liable to such forfeitures and stand interested in all the profits and powers of the said Navigation proportionably to the Sum he or they may Subscribe thereunto Generally and Extensively to all Intents and purposes as if such further or other Sum hereby allowed to be Subscribed for and raised had Originally been part of the said Twenty Thousand pounds anything therein Contained to the Contrary thereof in any wise Notwithstanding. And whereas it appears by an Estimate and Survey lately made by Experienced Workmen that the said Sum of Twenty Thousand pounds will not be Sufficient for making Compleating and Maintaining this Navigation by the said Act directed to be made and the purchase of Land that will be necessary for the purpose aforesaid and that it will require the further Sum of Seven thousand five hundred and Eighty three Pounds Upwards to finish the same in such Manner as in the whole to make a Compleat Navigation between the said Severn and Walbridge According to the line Intention and Meaning of the said Act, We therefore the said Company of proprietors at a General Meeting this day held in the Town of Stroud aforesaid and whose Names are hereunder written having taken the said further Estimate and Survey into Consideration have agreed not to admit any new Subscribers but to raise such Sum or Sums of Money for the purposes aforesaid not Exceeding the Sum of Ten Thousand pounds amongst ourselves by making an additional of Fifty Pounds per Cent on each Share by us Originally Subscribed in the said Recited Articles and have also agreed and ordered that Additional Ticketts or Titles to the Shares of the said Company of proprietors shall be made out by our Treasurer and written upon Vellum or Parchment and Signed by the said Treasurer and Witnessed by the Clerk and all Receipts on the Back of the said Ticketts for any Calls made thereon for Compleating the said Navigation shall be Signed and Witnessed in Manner aforesaid and Annexted to the Original Tickett in the possession of such Original Subscriber or to the person or persons who shall have or be Intitled unto the Transfer thereof and entered into the Register Book or Books of the said Company and shall in every Respect be subject and Liable to the same Orders Rules and Regulations as are prescribed in the said recited Act and Articles for the Government of the said Company. And we do hereby Jointly and Severally for ourselves and our and each and every of our Heirs Executors and Administrators promise to advance and pay such Sum or Sums of Money as shall Respectively belong to the additional Share or Shares to which we have Respectively agreed to advance as aforesaid, So as that the said Monay so to be advanced upon the whole Shares not exceed the said Sum of Ten Thousand Pounds according to the Tonor true Intent and and Meaning of those presents and of the Subscribing parties hereunto. In Witness whereof we have hereunto Set our Hands and Seals and the Numbers of our Several and Respective Shares apposite thereto this Second day of October In the Year of our Lord One Thousand Seven Hundred and Seventy Seven.
